Sales Terms & Conditions

These Sales Terms & Conditions (“Sales Terms”) apply to quotes, estimates, invoices, and orders issued by Millenium Products, Inc. (“Millenium”). They supplement, and are read together with, our Terms of Service, our Privacy Policy, and any product- or service-specific terms (including manufacturer warranties, end-user license agreements, hosted-service terms, and the WarDragon & DragonScope Terms of Use and Product License Agreement). Where a signed agreement, statement of work, or government contract conflicts with these Sales Terms, the signed document or contract controls.

1. Contract Vehicles. For purchases made through GSA, TXMAS, or other government contract programs, the applicable contract terms and conditions take precedence. Millenium’s standard terms apply only where they do not conflict with the governing contract.

2. Pricing. All prices are in U.S. Dollars (USD) and valid for thirty (30) days from the date of the quote unless otherwise stated. A 3.5% processing fee applies to credit-card payments.

3. Order Processing. A signed quote or purchase order is required to initiate fulfillment. Quotes include only the items listed in the Bill of Materials. Any additional materials, services, or modifications must be quoted separately.

4. Payment Terms. Unless otherwise governed by a contract, invoices are due within thirty (30) days of the invoice date. No prepayments or deposits will be invoiced for GSA or TXMAS orders. Millenium reserves the right to suspend services or delay delivery for accounts with unpaid balances.

5. Late Payments. Past-due balances are subject to late fees or interest as specified in the applicable quote or invoice. Customer is responsible for all collection costs, including reasonable attorneys’ fees.

6. Taxes. The purchaser is responsible for all applicable taxes, duties, customs, and government fees. If Millenium is required to pay any such charges, the purchaser will reimburse Millenium or provide valid exemption documentation at the time of contracting.

7. Delivery and Scheduling. Delivery and installation are subject to availability and scheduling, which may exceed thirty (30) days. Timelines will be confirmed after a signed quote or purchase order is received.

8. Software Licensing and Hosted Services. Use of any software, platform, or hosted system provided under a quote is governed by the applicable End User License Agreement (EULA), subscription agreement, or vendor-specific terms. Those terms may be issued by Millenium or by a third-party software publisher or service provider; license scope, duration, renewal, and permitted use are defined per item on the quote or in the applicable agreement. Access to software or hosted services may be suspended for non-payment or misuse.

9. Third-Party Brand Partner Products. Where a quote includes products from a third-party brand partner or manufacturer, those products are covered by the applicable manufacturer warranty, EULA, or product-specific terms in addition to these Sales Terms. The customer is responsible for reviewing and accepting those separate terms. Millenium is not responsible for the manufacturer’s or publisher’s performance of its own warranty or service obligations but may assist with coordination on request.

10. Warranty Terms. Warranty coverage is specified per item on the quote. Unless otherwise stated, third-party components are covered solely by their respective manufacturer warranties. Customers are responsible for initiating warranty claims with the applicable manufacturer. Millenium may assist with coordination but is not responsible for the manufacturer’s performance or claim outcomes. Warranty terms applicable to Millenium-branded products (including WarDragon and DragonScope) are governed by the WarDragon & DragonScope Terms of Use and Product License Agreement and the documentation accompanying the product.

11. Export Compliance. Products sold by Millenium may be subject to U.S. export-control and sanctions laws, including the Export Administration Regulations (EAR) and applicable OFAC sanctions programs. The purchaser represents that it is not located in, organized under the laws of, or affiliated with any jurisdiction or entity restricted under those laws and agrees not to export, re-export, transfer, or use any product or technical data provided by Millenium in violation of those laws.

12. Limitation of Liability. Millenium’s total liability arising out of or related to a specific order will not exceed the amounts paid by the customer for the product or service giving rise to the claim, as further limited by the applicable manufacturer warranty, EULA, or product-specific terms. Millenium is not liable for indirect, incidental, special, consequential, or exemplary damages.

13. Governing Law. These Sales Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, with venue in Pinellas County, Florida, except as otherwise required by an applicable government contract vehicle.
