Sales Terms & Conditions

Contract Vehicles
For purchases made through GSA or TXMAS contract programs, the applicable contract terms and conditions shall take precedence. Millenium’s standard terms apply only where they do not conflict with the governing contract.
Pricing
All prices are in U.S. Dollars (USD) and valid for 30 days. A 3.5% processing fee applies to credit card payments.
Order Processing
A signed quote or purchase order is required to initiate fulfillment. Quotes include only the items listed in the Bill of Materials. Any additional materials or services must be quoted separately.
Payment Terms
Unless otherwise governed by a contract, invoices are due within 30 days of the invoice date. No prepayments or deposits will be invoiced for GSA or TXMAS orders. Millenium reserves the right to suspend services or delay delivery for accounts with unpaid balances.
Late Payments
A late fee of 1.5% per month (or the maximum rate permitted by law, if lower) will be applied to past-due balances. Interest will accrue monthly until paid in full. Customers are responsible for any legal or collection costs incurred.
Taxes
The purchaser is responsible for all applicable taxes, duties, customs, or fees imposed by government authorities. If Millenium is required to pay any such charges, the purchaser agrees to reimburse Millenium or provide valid exemption documentation.
Delivery & Scheduling
Delivery and installation are subject to availability and scheduling, which may exceed 30 days. Timelines will be confirmed upon receipt of a signed quote or purchase order.
Software Licensing
Use of any software, platforms, or hosted systems provided under this quote is subject to applicable license terms issued by Millenium or third-party vendors. License terms, scope, and duration are defined on the quote or agreement. Access may be suspended for nonpayment or misuse.
Warranty Terms
Warranty coverage is specified per item on the quote. Unless otherwise noted, third-party components are covered only by their respective manufacturer warranties. Customers are responsible for initiating claims. Millenium may assist with coordination but is not liable for manufacturer performance.
